Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Jars Digital LLC, the owner and operator of Coop Link ("Coop Link," "we," "our," or "us"). By accessing or using Coop Link, you agree to these Terms.
1. Eligibility and Account Responsibility
- You must have legal capacity to enter into a binding agreement and comply with all applicable laws.
- You are responsible for all activity under your account, including safeguarding login credentials.
- You must provide accurate account information and keep it current.
2. License and Acceptable Use
Subject to your compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to use Coop Link for lawful business purposes.
You must not:
- Reverse engineer, copy, scrape, frame, or create derivative works from the service except as permitted by law.
- Use automation, bots, or scripts to access or abuse Coop Link in a way that impacts stability, availability, or security.
- Upload unlawful, infringing, deceptive, malicious, or harmful content.
- Attempt unauthorized access to accounts, systems, or data.
3. User Content and Rights
You retain ownership of content you submit, but you grant Jars Digital LLC a worldwide, royalty-free, sublicensable license to host, process, reproduce, modify, publish, and display that content solely to operate, secure, improve, and provide Coop Link services.
We may remove or restrict content at our sole discretion where we believe it may violate these Terms, third-party rights, or applicable law.
4. Fees, Billing, and Suspension Rights
- Paid features may require subscription or one-time payments.
- Fees are due as stated at checkout and are non-refundable except as required by law or as expressly stated in our Refund Policy.
- Failure to pay, payment reversal, or fraud risk may result in immediate suspension or termination.
5. Intellectual Property
All rights, title, and interest in Coop Link, including software, branding, interfaces, text, graphics, and functionality, are owned by Jars Digital LLC or its licensors. No rights are granted except those expressly stated in these Terms.
6. Third-Party Services
Coop Link may integrate with third-party services. We are not responsible for third-party content, products, policies, outages, or data processing. Your use of third-party services is governed by their terms and policies.
7. Disclaimer of Warranties
To the fullest extent permitted by law, Coop Link is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, error-free operation, or data accuracy.
8. Limitation of Liability
To the fullest extent permitted by law, Jars Digital LLC and its officers, employees, contractors, affiliates, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill loss, or procurement costs.
Our total aggregate liability for any claim related to Coop Link will not exceed the lesser of (a) the amount you paid to us for Coop Link in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
9. Indemnification
You agree to defend, indemnify, and hold harmless Jars Digital LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of Coop Link, your content, your violation of these Terms, or your violation of applicable law or third-party rights.
10. Termination
We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected fraud, abuse, non-payment, security risk, or legal compliance concerns. Sections that by their nature should survive termination will remain in effect.
11. Governing Law and Disputes
These Terms are governed by applicable U.S. law and the laws of the state where Jars Digital LLC is headquartered, without regard to conflict-of-law rules. You consent to exclusive venue and personal jurisdiction in those courts, except where prohibited by law.
12. Changes to These Terms
We may update these Terms at any time. Updated Terms become effective when posted unless a later effective date is stated. Your continued use of Coop Link after changes are posted constitutes acceptance of the revised Terms.
